The process of issuing an Invitation with respect to a given claim can be completed in less than five minutes. The party issuing the Invitation is defined as the "First Party" and the party to whom the invitation is issued is defined as the "Second Party." Samples of the pages that are used by a First Party to issue an Invitation and by a Second Party to respond to an Invitation, along with samples of the various Certificates that will be issued depending upon the results of that use, can be accessed via the links set forth below.
Italicized text on the samples consists of text that will change depending upon the data entered by the First Party. For example, these sample pages were generated by hypothesizing that a First Party (“Jane Doe”) had entered data defining herself as the party that would “accept,” rather than “pay” money, to settle the claim. If, instead, she had entered data defining herself as the party that would pay money, then the phrases “greater than” and “less than,” as they appear on these pages, would be inverted. Once the First Party has activated the Invitation, the First Party's work is done. The System sends the Second Party a copy of the Term Sheet and log-in data via email (a sample of which can be seen here) and sends a confirmatory email to the First Party (a sample of which can be seen here). The pages that are used by a Second Party to respond to an Invitation consist of the following two pages.
The System will, depending upon the manner in which the System is used and the results
of that use, also generate and provide one or both of the parties with an opportunity to
download various Certificates. The Certificates that the System will potentially generate
are as follows (samples of those certificates and the pages upon which they would appear
if and when they are generated can be seen by clicking on the names of those Certificates
as set forth below).
This Certificate will be generated by the System and sent to both parties via email if and when the Second Party enters data that settles the claim.
In the event that the use of the System does not result in a settlement then the System will, as of the deadline, generate and provide the First Party with an opportunity to download a confidential Certificate attesting to the manner in which the First party used the System, including the settlement amount specified by the First Party, and to the fact that the claim did not settle via the System at that time because, as of the deadline, the Second Party had not entered data resulting in a settlement for that amount. After offering the First Party an opportunity to download this Certificate, the System will not maintain a copy of it or retain any information concerning the settlement amount referenced therein, nor will it provide a copy of this Certificate or disclose the referenced settlement amount to anyone else.
If (but only if) the Second Party uses the System and, prior to the deadline, specifies an amount of money that does not result in a settlement of the claim, then the System will at that time (in addition to offering the Second Party an opportunity to specify an alternative amount) generate and provide the Second Party with an opportunity to download a confidential Certificate attesting to the amount of money specified by the Second Party and to the fact that this did not result in a settlement of the claim. After offering the Second Party an opportunity to download this Certificate, the System will not maintain a copy of it or retain any of the information contained therein, nor will it provide a copy of this Certificate or disclose the contents of same to anyone else.
